Job Description

We are seeking a highly organized and legally astute Corporate Secretariat Associate to join our thriving manufacturing operations in Port Harcourt.

In this pivotal role, you will be instrumental in managing all aspects of our corporate secretarial functions, ensuring strict adherence to Free Zone guidelines, Nigerian laws, and industry-specific regulations. Your responsibilities will span from orchestrating board and shareholder meetings to maintaining critical statutory records and liaising with regulatory bodies.

You will also provide essential legal advisory services, draft and review crucial legal documents, and proactively identify and mitigate legal risks. A key part of your role will involve administering and enhancing our compliance management systems, tracking deadlines, and automating reporting workflows to maintain optimal risk and compliance status.

Key Responsibilities

  • Organize and manage board, management, and shareholder meetings, including preparing minutes, resolutions, and all necessary documentation.
  • Maintain accurate statutory records and ensure timely submissions to the Corporate Affairs Commission (CAC) and relevant Free Zone Authorities.
  • Ensure the company's full compliance with the Companies and Allied Matters Act (CAMA), applicable governance codes, and specific Free Zone operational guidelines.
  • Serve as the primary liaison between the company, its board of directors, and various regulatory bodies.
  • Coordinate the completion of annual returns, board evaluations, and all other corporate filings.
  • Provide expert legal advice on commercial transactions, labor law, and industrial matters relevant to our operations.
  • Draft, meticulously vet, and review a wide range of legal documents, including contracts, Memoranda of Understanding (MOUs), vendor agreements, leases, and service-level agreements.
  • Proactively identify, assess, and manage legal risks, collaborating with external counsel when necessary and representing the company in legal matters.
  • Ensure strict compliance with Free Zone regulations as issued by the Nigeria Export Processing Zones Authority (NEPZA) or any other applicable Free Zone regulators.
  • Oversee and manage regulatory audits, inspections, and the renewal of permits and licenses within the Free Zone.
  • Stay abreast of new legislation, regulations, and directives that may impact the company's operations and advise accordingly.
  • Administer and continuously improve the utilization of compliance management tools or software.
  • Track and manage compliance deadlines for licenses, tax exemptions, Free Zone levies, and corporate reporting requirements.
  • Automate reporting workflows and maintain comprehensive dashboards to monitor risk and compliance status.
  • Conduct periodic internal compliance checks and deliver essential staff training on compliance matters.

Qualifications

  • Membership or certification with the Institute of Chartered Secretaries and Administrators of Nigeria (ICSAN).
  • A Bachelor of Laws (LL.B) degree is considered a significant advantage.
  • A minimum of 5 years of post-call experience, with a preference for experience within the manufacturing or a similarly regulated industry.
  • Demonstrated hands-on experience with Free Zone regulations, such as those from NEPZA or OGFTZA.
  • Familiarity with compliance management tools and digital governance systems.
  • A strong understanding of Nigerian corporate law, labor law, and industrial law.
  • Exceptional communication, legal drafting, and stakeholder management skills.
