Urbacon Concessions Investments is seeking a highly experienced and strategic Group Legal Director to lead its legal operations.
In this critical role, you will provide expert advice on corporate governance, regulatory compliance, and shareholder relations. You will be responsible for developing and implementing systems and processes to ensure the group's adherence to all legal and regulatory requirements.

Key Responsibilities
- Provide sound advice on corporate governance, regulatory affairs, and shareholder relations.
- Review applicable regulations and develop systems, processes, and procedures for effective management of corporate affairs and compliance.
- Adopt a proactive approach to potential problems to ensure compliance with legal requirements, corporate governance practices, and other regulatory requirements.
- Contribute to the development of the group's vision, mission, and strategy, and lead the development of the business unit’s strategy, ensuring alignment with organizational objectives.
- Build and lead a motivated, engaged, and competent team by setting priorities, managing performance, and providing ongoing feedback and coaching.
- Define an optimum organization structure for the business unit and direct the development of divisions for efficient resource utilization.
- Provide support and input for the manpower plan, collaborating with Human Capital.
- Provide direction on the preparation and consolidation of the business unit’s budget in line with the group's annual business plan.
- Conduct full legal due diligence across the group for readiness and compliance issues.
- Handle Public Private Partnerships (P.P.P) processes and proceedings.
- Reduce liabilities against group companies resulting from lawsuits/claims and secure hard bargaining agreements/settlements.
- Oversee the drafting and review of contracts and related documents for procurement, confidentiality, employment, leases, and software licenses.
- Analyze complex laws and regulations affecting the group's operations.
- Represent the Company and/or senior executives and managers in legal proceedings or supervise such representation.
- Engage outside counsel on complex legal issues and supervise their work.
- Anticipate and identify legal issues of concern to senior management and develop legal strategies and solutions.
- Work closely with heads of functions (finance, HR, supply chain) on reviewing business transactions and solving business issues.
- Support the implementation of the Code of Conduct and promote an ethical and legally compliant business culture.
- Actively participate in appropriate executive, leadership, and/or operating committees.
- Conduct process reviews to ensure transparent processes and procedures are effectively implemented and utilized.
- Plan communication and training programs to help employees understand their roles in compliance.
- Partner with senior management and departmental teams to achieve desired compliance results.
- Provide professional and credible legal advice and effective legal support on topics such as corporate governance, business structures, M&A, property, employment, insurance, and reinsurance.
- Provide support in drafting, contract risk management, and general management of contracts.
Qualifications
- Bachelor's Degree in Law
- Professional Qualification in Law
- Minimum 15 years of working experience
- Minimum 10 years in a relevant management/leadership position
- 5 years of experience in the GCC is a plus
- Ability to grasp business transactions and implement legal treatment
- Ability to analyze complex legal problems quickly and concisely
- Experience handling a high volume of contract reviews, drafting, and negotiations simultaneously
- Extensive knowledge of corporate governance, legal, and Company secretarial matters
- Overall broad legal knowledge (corporate law, litigations, labor law, etc.)
- ERP knowledge, preferably SAP functional skills
